By accessing our studio platforms or engaging Novasoft Studio Inc. for digital product engineering, OCR machine learning pipelines, or dedicated senior sprint pods, you agree to be bound by these Terms of Service.
These Terms apply to all preliminary consultations, bilateral non-disclosure agreements (NDAs), Statements of Work (SOWs), and Master Services Agreements (MSAs) executed with our enterprise clients.
Unless otherwise negotiated in a custom enterprise MSA, all custom code, user interfaces, database designs, Docker files, and technical documentation produced specifically for client engagements shall constitute “work made for hire”.
Upon settlement of milestone invoices, all right, title, and interest (including copyright and patent rights) are transferred unconditionally to the client with zero residual studio royalties or vendor lock-in.
Novasoft Studio warrants that all delivered software deliverables conform to the agreed-upon technical blueprint and API contract schemas for a period of thirty (30) days following production handover.
Studio engagements are structured around bi-weekly sprint cycles or milestone-based deliverables specified in each Statement of Work (SOW). Invoices are payable via ACH, international wire transfer, or corporate card within 14 days of receipt.
Deliverables and root git branches are deployed to customer-controlled cloud infrastructure upon verification of sprint acceptance criteria.
To the maximum extent permitted by applicable law, neither party shall be liable for indirect, punitive, or consequential damages, loss of data, or business interruption arising out of or relating to the deliverables.
Total cumulative liability of Novasoft Studio for any claim under an applicable SOW shall be strictly capped at the aggregate amount paid by the client under that specific Statement of Work in the preceding 6 months.
These Terms and all corresponding SOWs shall be governed by and construed in accordance with the laws of Gujarat, India. Any dispute arising under these terms that cannot be resolved through mutual executive consultation within 30 days shall be subject to the exclusive jurisdiction of the competent courts in Surat, India.
